Investment thesis

Xponentia Capital Partners is a Mumbai-based, India-focused mid-market private equity firm set up to address what it describes as the paucity of capital available to the Indian mid-market corporate sector. Founded in 2018 by managing partners PR Srinivasan and Devinjit Singh, the firm positions itself as a value-added partner that supplies both capital and capabilities to help entrepreneurial management teams build valuable businesses. At the heart of its approach is a proprietary Value Creation Strategy, built on the founders' investing experience across three decades, including stints leading the investment teams of The Carlyle Group, Citigroup Venture Capital International (CVCI) and HSBC Private Equity, with a stated track record of investing over $1 billion of capital across their careers. Xponentia focuses on buyouts and significant minority transactions rather than passive minority stakes, and concentrates on companies with proven business models and the potential to generate around Rs 30-35 crore in EBITDA.

Sectors and stage focus

The firm invests across financial and business services, consumer and retail, and healthcare, with industrials and logistics also in scope. It targets established, profitable mid-market companies where operational improvements and strategic guidance can unlock sustainable growth, rather than early-stage venture bets.

Fund size

Xponentia raised its first fund, Xponentia Opportunities Fund (XOF-1), of Rs 351 crore in 2019. Including co-investments by its limited partners, the firm deployed a total of Rs 450 crore from the first fund across about eight investments, and reports a distributions-to-paid-in-capital (DPI) ratio of above 90% in XOF-1, with timely exits enabling full deployment of the fund. Its second fund, Xponentia Opportunities Fund 2, achieved a first close of Rs 365 crore backed by Indian corporates, family offices and high net-worth individuals, with a final-close target of Rs 750 crore and a plan to make around eight to ten investments.

Notable portfolio

The firm's portfolio has included the Flight Simulation Technology Center (FSTC), Barbeque Nation, R4Rabbit, Easy Home Finance, Medsource and Altigreen. Xponentia fully exited Spoton Logistics when Delhivery acquired the company in August 2021, and partially sold its stake in Barbeque Nation after the restaurant chain listed on the exchanges in April 2021. It also backed lifestyle brand The Souled Store in a Rs 135 crore funding round, with Srinivasan citing the team's ability to build a distinctive brand and community around licensed merchandise.

Partners

The firm is led by its two founders, PR Srinivasan and Devinjit Singh, as managing partners. Both bring backgrounds from global private equity platforms, and the firm is registered as Xponentia Capital Partners LLP in Mumbai.

Programmes and founder perks

Xponentia does not run accelerator programmes, fellowships or published founder credit and perk bundles. Engagement with founders is direct through the investment team, with support framed around operational value creation rather than structured programmes.

Why it matters for founders

Xponentia is a credible option for profitable mid-market companies in financial services, healthcare or consumer businesses seeking a hands-on PE partner: its first fund's above-90% DPI suggests a genuine exit record rather than paper mark-ups, and the founders' Carlyle and CVCI lineage means institutional-grade rigour. That said, this is growth private equity for proven, EBITDA-positive businesses, not venture capital for pre-revenue startups, so approach only when the numbers and the scale fit.
