Invest-tech startup StockGro is raising ₹110 crore (around $10.4 million) as a fresh tranche of its ongoing Series B round, according to MCA filings accessed by Inc42. The raise comes just days after the company's parent, AssetGro Fintech Ltd, pre-filed its draft IPO papers with SEBI via the confidential route on September 26 — a clear pre-IPO top-up from insiders.

The company's board has approved issuing 14,004 Series B CCPS at ₹78,668 per share, aggregating to ₹110.16 crore. Existing investor BITKRAFT Ventures is leading the tranche with ₹60.1 crore, followed by Aditum Venture Capital Fund with ₹23.1 crore. The rest is being contributed by India SME Growth Fund, Systematix Fincorp, and angels including Vanaja Sundar Iyer, Jignesh Vijay Shah and actor Suniel Shetty. StockGro declined to comment on the fresh funding.

The capital will fuel growth and expansion of operations, meet working capital requirements and serve general corporate purposes. It follows a steady drumbeat of Series B tranches: in December last year the startup raised ₹150 crore from Param Capital founder Mukul Agarwal, and days after announced a $13 million Series B1 round from BITKRAFT Ventures.

The timing is deliberate. StockGro is reportedly planning to raise up to ₹2,000–2,500 crore via its IPO, likely including a fresh issue of around ₹800 crore and an offer for sale by existing shareholders — though the final issue size and structure could change during the IPO process.

Focused on stock-market research, investing and trading, StockGro combines market research with a social layer — users track stocks, study portfolios, follow other investors and interact with market experts. It offers research and trade ideas from SEBI-registered analysts and its AI-powered research assistant Stoxo helps users analyse stocks, markets and mutual funds. The startup has raised about $110 million to date and claims to have served over 4.5 crore users, counting Roots Ventures, General Catalyst and Nitish Mittersain among its backers.

Why it matters for founders

StockGro's insider-led top-up days after confidential DRHP filing is a textbook pre-IPO move: existing investors doubling down signals confidence to public-market investors. For founders approaching an IPO, a small private tranche before the public filing can shore up the balance sheet and anchor valuation narrative. Also note how MCA filings surfaced the round — in India's ecosystem, your filings tell the story before your PR does, so keep your cap-table hygiene immaculate.
