Marico has doubled down on one of India's best-known digital-first wellness brands. The FMCG major acquired an additional 24.09% stake in Satiya Nutraceuticals Private Limited — owner of the plant-based nutrition brand The Plant Fix–PLIX — for a cash consideration of Rs 1,012.03 crore, with the transaction completed on 5 October 2026.
The deal takes Marico's holding in Satiya from 60% to 84.09% on a fully diluted basis. Including earlier tranches, the aggregate consideration for that 84.09% stake now stands at Rs 1,392.07 crore — a rich valuation by any measure, but one backed by extraordinary growth.
Satiya's consolidated turnover nearly doubled to Rs 864.31 crore in FY26, up from Rs 432.84 crore in FY25. Doubling revenue at that scale, in a single year, explains why Marico is willing to pay up: PLIX is one of the fastest-growing brands in India's plant-based nutrition and personal care segment.
The acquisition story is not over. Marico will acquire the remaining 14.09% in July 2027 for a base consideration of up to Rs 592 crore plus milestone-linked consideration — a classic earn-out structure that keeps the founders incentivised while the brand scales inside the Marico machine.
Separately, Marico said its domestic business recorded double-digit underlying volume growth in Q2 ended 30 September 2026 and expects double-digit revenue growth for the quarter — a signal that the core portfolio and the new digital brands are firing together.
For D2C founders, this is the template exit working at full scale: build a sharp, digital-first brand; take strategic capital to accelerate; then convert a majority stake into a full acquisition with a founder-friendly earn-out. Marico's staged buyout of PLIX is now one of the largest such deals in Indian wellness.
Why it matters for founders
A Rs 1,012.03 crore cheque for 24.09% of a D2C wellness brand validates the staged strategic-exit playbook. If you are building digital-first, court FMCG majors as partners first — a majority stake today can become a billion-rupee buyout tomorrow.
