Indian startup ecosystem consolidation continues: Axiscades Technologies announced that its board of directors approved, on October 14, 2026, the acquisition of substantially all business assets of ITSJ Group, Inc. — a San Jose-based precision engineering and electronics manufacturer — by XIDA Inc., the group's US AI-infrastructure company and a step-down subsidiary of Axiscades.

The deal is valued at up to ₹67 crore (approximately US$7.0 million). The consideration is disciplined and performance-linked: an initial cash payment of US$2.5 million at completion, the balance in XIDA shares vesting over 30 months, and an additional earn-out of up to US$2.0 million tied to customer, revenue and margin milestones. As an asset purchase, ITSJ's legacy liabilities remain with the seller.

Why this acquisition matters for startup funding India watchers

Founded in 2023, ITSJ has in under three years become a qualified supplier of sub-assemblies for semiconductor capital equipment and data-centre cooling and infrastructure systems — two of the fastest-growing segments of the AI hardware market, where customer qualification usually takes years to earn. XIDA gains those supplier positions from day one, plus an operating base in Silicon Valley with design-to-build capabilities: precision machining, PCB design and assembly, cable and box build, and full system integration from prototype to production.

XIDA plans to combine a US front-end with Indian engineering capabilities — a diversified, tariff-resilient delivery model — bringing capital, finance and quality systems, management depth, and the Axiscades group's India-based design and manufacturing bench to scale ITSJ.

Why it matters for founders

This is the India–US deeptech playbook in action: buy the qualified customer positions and the Silicon Valley address, scale with Indian engineering. For deeptech founders, the takeaway is that customer qualification — not just technology — is the asset acquirers pay for. Get designed in early.
